WAPCO Notifies of Resolutions Passed At Its 61st AGM

Lafarge Africa Plc ("the Company") hereby announces that at its 61st Annual General Meeting held on Wednesday, 3rd June 2020 at the Lavendar Room, Eko Hotel & Suites, Plot 1415 Ademola Adetokunbo Street, Victoria Island, Lagos, Nigeria, the following resolutions set ou tin the Notice of the Annual General Meeting and put to the Shareholders were duly passed by the requisite majority. The following resolutions were put before the meeting and were duly passed:

1.   That the Audited Financial Statements for the year ended 31st December 2019, the Reports of the Directors, Auditors and Audit committee be and are hereby adopted.

2.    That a dividend of N1 (One Naira) per ordinary share amounting to N16,107,795,721.00 only be and is hereby declared payable from the pioneer reserve and not subject to deduction of withholding tax in respect of the year ended 31st December, 2019, and be payable on the 3rd of June 2020, to all shareholders registered in the Books of the company as at the close of business on 30th April 2020.

3.      The appointment of the following Directors be and are hereby approved:

            i) Mr. Marco Licata (Non-Executive Director)

            ii) Mr. Khaled El Dokani (Executive Director)

            iii) Mr. Gbenga Oyebode, MFR (Independent Non-Executive Director)

            iv) Mr. Olivier Guitton (Non-Executive Director)

            v) Mr.Lolu Alade-Akinyemi (Executive Director)

4.      That the following Directors be and are hereby re-elected:

            i) Mr. Grant Earnshaw

            ii) Mrs. Karine Uzan Mercie

5.     That the Directors be and are hereby authorised to fix the remuneration of the Auditors for the year ending 31st December, 2020
