This is to announce that
the 11th Annual General Meeting (AGM) of Dangote Cement Plc.
was held on Monday, June 15, 2020, at Eko Hotel and Suites, Victoria Island,
Lagos at 11.00 a.m. In view of the COVID-19 pandemic, attendance at the AGM was
by proxy. The Annual Report is available at http://www.dangotecement.com.
At this AGM, the following resolutions were proposed and duly passed:
- The Audited Financial Statements for
the Year Ended December 31, 2019 and the Reports of the Directors, Auditors and
the Audit Committee were accepted.
- A dividend payment of N16.00 for
every ordinary share of 50 kobo each to all shareholders whose names were
registered in the Company's Register of Members at the close of business on May
25, 2020 was declared.
- The re-elections of Viswanathan
Shankar, Michael Davis, Cherie Blair, Douraid Zaghouani and Sani Dangote, being
Directors who retired by rotation, were approved.
- The appointments of Michel Puchercos
and Arvind Pathak as Directors were approved.
- Following the retirement of the
joint auditors Deloitte and Touche, and Ahmed Zakari and Co. the appointment of
KPMG Professional Services as the External Auditor was approved.
- The Directors were authorised to fix
the remuneration of the Auditors.
- The elections of Robert Ade-Odiachi,
Sheriff Yussuf Mojirola and Nicholas Nyamali, as members of the Statutory Audit
Committee were approved, to serve along with Mr. Ernest Ebi MFR, Mr. Olakunle
Alake, Mr. Emmanuel Ikazoboh until the conclusion of the next AGM.
- The remuneration of the Chairman of
Five Million Naira (N5,000,000.00) and that the remuneration of the
Non-Executive Directors of Four Million Naira (N4,000,000.00) for the year
ending December 31, 2020 was approved.
